Welcome to BetweenStacks, a subsidiary of NewMotion Agents B.V. By accessing or using our services, you agree to be bound by these terms and conditions. These terms govern your use of our website and services, including data collection, enhancement, and distribution. BetweenStacks operates under Dutch law.

2. Definitions

• Services: The data collection, enhancement, and distribution services provided by BetweenStacks.
• Customer Data: Any data submitted to BetweenStacks by customers.
• Subscription Term: The period during which the customer has agreed to use BetweenStacks’ services.
• Free Tools: Tools provided by BetweenStacks that are available without a subscription fee but may still collect and use customer data.

3. Services

3.1 Provision of Services: BetweenStacks collects data from various sources, enhances it using A.I. and makes it actionable. This improved data can be sent to other systems as per customer requirements.

3.2 Use of Services: Customers must use the services only for their intended purpose and in compliance with applicable laws and regulations.

3.3 Subscription and Fees: Customers must pay all applicable fees for the services according to the agreed subscription terms. Non-payment may result in suspension or termination of services.

3.4 Free Tools: Some BetweenStacks tools are free. By using these tools, customers agree to the collection and use of their data as described in these terms and the Privacy Policy.

4. Customer Obligations

4.1 Data Rights: Customers retain all rights to their data but grant BetweenStacks a license to process and use the data as needed to provide the services.

4.2 Data Accuracy: Customers are responsible for ensuring the data’s accuracy and legality.

4.3 Compliance: When using our services, customers must comply with all applicable laws, including data protection regulations.

5. Security and Data Protection

5.1 Data Security: BetweenStacks uses reasonable measures to protect customer data from unauthorized access or disclosure.

5.2 Data Processing: Our Data Processing Agreement (DPA) governs all data processing activities.

5.3 Anonymized Data: BetweenStacks may use anonymized data for analysis and service improvement.

6. Billing and Payment

6.1 Billing: BetweenStacks will bill customers for services rendered according to the subscription plan chosen. Invoices will be issued at the start of the Subscription Term and are payable within 30 days.

6.2 Payment Methods: Payments can be made via credit card, bank transfer, or other methods specified on the invoice. The customer is responsible for maintaining accurate billing information.

6.3 Late Payments: If payment is not received by the due date, BetweenStacks reserves the right to charge interest on the overdue amount and suspend services until payment is made.

6.4 Subscription Changes: Any upgrades or downgrades to the subscription plan will result in prorated charges or credits. Changes will take effect immediately, and any additional fees will be due in the next billing cycle.

6.5 Taxes: All fees exclude taxes, levies, or duties imposed by taxing authorities. Customers are responsible for paying any applicable taxes.

7. Termination

7.1 Termination by Customer: Customers may terminate their subscription by providing written notice to BetweenStacks.

7.2 Termination by BetweenStacks: BetweenStacks may terminate or suspend services if the customer breaches these terms or fails to pay fees.

8. Limitation of Liability
BetweenStacks’ liability is limited to the maximum extent permitted by law. BetweenStacks is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

9. Changes to Terms
BetweenStacks may update these terms from time to time. Customers will be notified of significant changes, and continued use of the services constitutes acceptance of the new terms.

10. Governing law
The laws of the Netherlands govern these terms, and any disputes arising from them will be resolved in the courts of the Netherlands.
